NCDHA Bylaws

ARTICLE I 

TITLE

SECTION 1. NAME:

The name of this organization shall be the North Carolina Dental Hygiene Association, hereinafter referred to as “NCDHA”.

SECTION 2. DEFINITION:

NCDHA is an incorporated non-profit organization and a Constituent of the American Dental Hygienists’ Association, hereinafter referred to as “ADHA”.

ARTICLE II

PURPOSES

The purpose of NCDHA is to represent the profession of dental hygiene while encouraging professional development based upon the highest educational standards.

ARTICLE III

MEMBERSHIP

SECTION 1. CLASSIFICATION OF MEMBERS:

The members shall be classified as either Voting or Non-Voting.

A. VOTING MEMBER:

Voting members shall be limited to Active, Life, and Retired Members.

1. ACTIVE MEMBER:

Any dental hygienist who holds a certificate or degree in dental hygiene granted pursuant to a dental hygiene program which has a minimum of two academic years of curriculum provided in a college or institution of higher education, the program of which is recognized by the United  States Department of Education and/or an appropriate national voluntary agency, or who is licensed to practice dental hygiene in the United States under the provisions of a “grandfather clause”; who agrees to adhere to the Bylaws and Principles of Ethics of this Association: and is a member of ADHA and one of the NCDHA components, if such a component exists.

2. LIFE MEMBER:

A voting member of ADHA and NCDHA who is also:

a.         A dental hygienist who has been nominated for Life Membership by the NCDHA Board of Trustees and received a majority vote of the NCDHA House of Delegates for outstanding contributions to both dental hygiene and NCDHA shall automatically become a Life Member, or

b.         A dental hygienist who has served as President of NCDHA and has been a member of NCDHA for either a period of twenty (20) accumulative years or fifteen (15) consecutive years, shall automatically become a Life Member, or

c.         A dental hygienist who has served as President of ADHA shall automatically become a Life Member.

3. RETIRED MEMBER:

A voting member of ADHA who has been an active member either for a period of twenty-five (25) accumulative years, twenty (20) consecutive years, or continuously from date of eligibility for Active Membership and who has reached the age of at least sixty-two (62) or, because of disability has retired from practice at an earlier age, or no longer is earning income from the performance of service as a member of the faculty of a dental hygiene program, as a dental administrator or consultant, or as a practitioner of dental hygiene, may be classified as a Retired Member upon application to the NCDHA Board of Trustees and upon proof of qualification. To qualify for the retired membership status, the Voting Member shall submit an affidavit attesting to the status of retirement through NCDHA and the Component, if one exists. NCDHA and the Component shall submit certificates verifying such retirement.

B. NON-VOTING MEMBER:

Non-voting members shall be limited to Supporting, Allied, Student and Honorary Members.

1. SUPPORTING MEMBER:

A licensed dental hygienist who is not employed in a dental hygiene related career and who agrees to the Bylaws and Code of Ethics of NCDHA shall be eligible for supporting membership upon application to and verification by the NCDHA Treasurer. Enrollment in this category shall require membership in ADHA, NCDHA and a Component, if one exists.

2. ALLIED MEMBER:

An individual not qualified to be a Voting NCDHA Member, supporting the goals and objectives of NCDHA, upon application to the NCDHA Treasurer and recommendation by a Component or Board of Trustees, may become an Allied Member and meet such other uniform requirements as may be established from time to time by the NCDHA House of Delegates.

3. STUDENT MEMBER:

1.         Any student in an accredited dental hygiene program or a graduate of an accredited dental hygiene program who is pursuing a baccalaureate or graduate degree complimentary to a career in dental hygiene, shall be eligible for Student Membership upon application to the Executive Director of ADHA following recommendation by the director or duly-appointed representative of the institution.

2.         And, a student who is a member of the Student American Dental Hygienists’ Association (SADHA) shall be eligible to become an NCDHA Student Member.

4. HONORARY MEMBER:

An individual who is not a dental hygienist, who has been nominated to Honorary Membership by the NCDHA Board of Trustees and received a majority vote of the NCDHA House of Delegates for outstanding contributions to the international, national or state scope of the art and science of dental hygiene or dental health for an extended period of time.

SECTION 2. PRIVILEGES AND RIGHTS OF MEMBERS:

A. VOTING MEMBERS SHALL BE ENTITLED TO:

A.        The right to vote on all matters requiring a vote in NCDHA and the Component to which the member belongs.

B.         The eligibility for election as a Delegate or Alternate Delegate to the ADHA and /or NCDHA House of Delegates and eligibility for election or appointment to any office, committee, Board of Trustees or similar position in NCDHA if qualified.

C.        A subscription to the official publication of NCDHA.

D.        The admission to any general meeting of NCDHA.

E.         Any such other rights as the NCDHA Board of Trustees and/or House of Delegates may from time to time determine.

B. NON-VOTING MEMBERS SHALL BE ENTITLED TO:

A.        1. A subscription to the official publication of NCDHA.

B.         2. The admission to any general meeting of NCDHA.

C.        3. Any such other rights as the NCDHA Board of Trustees and/or House of Delegates may from time to time determine.

SECTION 3. APPLICATION FOR MEMBERSHIP:

All applications for Membership must be made by the applicant to the ComponentTreasurer where the applicant is either licensed, practicing or residing OR directly to the NCDHA Treasurer OR to ADHA. All such applicants must also become members of ADHA and pay dues to ADHA, with the exception of Honorary Members.

SECTION 4. DUES AND ASSESSMENTS FOR MEMBERSHIP:

Dues and assessments shall be payable in advance on or before the anniversary date.

A.

Dues and assessments for Active, Supporting and Allied Members shall be determined by the NCDHA House of Delegates by a two-thirds (2/3) affirmative vote of those present and voting.

B.

Dues and assessments for Life, Retired and Honorary Members shall be exempt from payment.

C.

In addition to ADHA and NCDHA dues, all members shall be required to pay such dues and assessments as determined by the Component, if one exists, to which that member belongs.

SECTION 5. RESIGNATION OF MEMBERSHIP:

A member desiring to resign from NCDHA shall submit such resignation in writing to the NCDHA President. No member’s resignation shall be accepted until all prior dues, fees and assessments are paid.

SECTION 6. NON-PAYMENT OF MEMBERSHIP DUES:

If a member fails to pay dues, fees or assessments within sixty (60) days from the time these become due; or ceases to be a member of ADHA or NCDHA or Component, membership shall automatically be forfeited.

SECTION 7. REINSTATEMENT OF MEMBERSHIP:

Any member who has forfeited membership for non-payment of dues may be reinstated as a continuous member upon show of just cause AND payment of all past and current dues within one (1) year of the date of forfeiture AND upon approval of the NCDHA Board Trustees.

SECTION 8. SUSPENSION OR TERMINATION OF MEMBERSHIP:

The decision for suspension or termination shall be by a two-thirds (2/3) affirmative vote of the NCDHA House of Delegates. At least sixty (60) days notice shall be given and the member shall have the opportunity to appear in person or to be represented by counsel and to present any defense to such charges before the NCDHA House of Delegates takes action.

ARTICLE IV

OFFICERS

SECTION 1. ELECTED OFFICERS:

The elected officers shall be the President, President-Elect, Vice President, Recording Secretary, Treasurer, Treasurer-Elect, Speaker of the House and one Trustee from each Component.

SECTION 2. QUALIFICATIONS:

A.

Any voting member of NCDHA shall be eligible to serve as an elected officer.

B.

An elected officer shall hold no more than one elected office at a time with the exception of the ADHA Delegate/Alternate Delegate.

SECTION 3. TERM OF OFFICE:

A.

All elected officers shall take office immediately upon installation and all officers, except the Speaker of the House, Treasurer and Trustees shall serve for a term of one (1) year, or until their successors are elected and installed.

B.

The Speaker of the House, Treasurer and Trustees shall serve a term of two (2) years.

C.

President-Elect, upon completion of the term of office, shall succeed to the office of President without election.

D.

President, upon completion of the term of office, shall succeed to the office of Immediate Past President without election.

E.

Treasurer-Elect, upon completion of the term of office, shall succeed to the office of Treasurer without election.

SECTION 4 DUTIES:

A.

The elected officers shall perform those duties regularly and customarily considered appropriate. The officers shall also perform those duties assigned by the NCDHA Board of Trustees.

B.

An annual report shall be submitted by each officer for review and/or action by the NCDHA House of Delegates.

C.

The NCDHA Treasurer shall be the chief financial officer of NCDHA.

SECTION 5 NOMINATIONS:

The Nominations Committee shall present the slate of officers to be elected. The report of the Committee shall be read at the first meeting of the NCDHA House of Delegates at which time nominations from the floor are in order.

SECTION 6 ELECTIONS:

A.

Voting shall be by secret ballot of the certified delegates.

B.

The person receiving the majority of votes cast shall be declared elected.

C.

In the event a candidate does not receive a majority of votes cast on the first ballot, the two candidates receiving the highest number of votes shall be voted upon again by secret ballot until a candidate receives a majority of the votes cast.

D.

Treasurer-Elect shall be elected at the beginning of the last year of the term of the Treasurer.

SECTION 7. LIMITATION ON SERVICE:

No member shall hold more than one office at a time, and no member shall be eligible to serve more than two consecutive terms in the same office.

A member having served more than a half term in office shall be deemed to have served a term.

The term of office shall begin at the close of the last meeting of the House of Delegates Session at which they were elected and installed.

SECTION 8. RESIGNATION:

Any elected officer may resign by submitting their resignation in writing to the President and President-Elect.

SECTION 9. VACANCIES:

A.

In the event of a vacancy in the office of President, the President-Elect shall serve as President for the unexpired term and the term immediately following.

B.

In the event of a vacancy in the office of President-Elect and/or Vice President and/or Treasurer, Treasurer-Elect and/or Recording Secretary, the NCDHA President with the approval of the NCDHA Board of Trustees may appoint a successor for the unexpired term. Each office, excluding Treasurer, shall undergo an election process at the next meeting of the NCDHA House of Delegates.

C.

In the event of a vacancy in the office of Speaker of the House, the NCDHA House of Delegates shall elect a successor for the unexpired term.

D.

In the event of a vacancy in the office of Component Trustee, the NCDHA President upon consultation with said Component officers shall appoint a voting member of that Component to serve until election of a Trustee of that Component.

SECTION 10. APPOINTED POSITIONS:

A.

Appointed positions of NCDHA may be established by the NCDHA Board of Trustees as deemed necessary.

B.

The qualifications for appointed positions shall be determined by the NCDHA Board of Trustees.

C.

The appointed positions shall be appointed by the NCDHA President with the approval of the NCDHA Board of Trustees.

D.

The vacancies of appointed positions shall be filled as they occur by the NCDHA President with the approval of the NCDHA Board of Trustees.

E.

The appointed positions shall perform those duties prescribed by the NCDHA Board of Trustees except as otherwise provided in these Bylaws.

ARTICLE V

COMPONENTS

SECTION 1. DEFINITION:

A component of NCDHA shall consist of all members who are either licensed, practicing or residing within that territory in which that component is situated.

SECTION 2. ORGANIZATION:

Component societies, as defined by ADHA, shall be chartered by NCDHA.

SECTION 3. APPLICATION FOR CHARTER:

Upon approval of the NCDHA Board of Trustees and the majority vote of the NCDHA House of Delegates, any group of voting members of NCDHA, within a geographically bound territory, may receive a charter from NCDHA and become a component of NCDHA. The Component charter shall include the geographical territory, the name, the Bylaws, and the names on a Membership list.

SECTION 4. REVOCATION OF CHARTER:

A Component charter may be revoked by a two-thirds (2/3) affirmative vote of the NCDHA House of Delegates only for failure to comply with ADHA or NCDHA Bylaws and then only after the Component is provided a reasonable opportunity to correct the infraction which has placed it’s charter in jeopardy.

SECTION 5. MEMBERSHIP:

A.

A member of NCDHA can qualify to be a component member by being licensed, practicing and/or residing in that component.

B.

A member of NCDHA who qualifies for membership in more than one (1) component shall be recorded on the membership rolls as a member of ONLY one (1) component.

C.

A member of a component who seeks to transfer membership to another component shall do so at the time of payment of dues for the forthcoming year.

D.

A member can transfer component membership at the time a new component charter is issued.

SECTION 6. RIGHTS AND DUTIES:

The rights and duties of each component shall include, but not be limited to:

A.

Adopt and maintain Bylaws which shall not be in conflict with the Bylaws of ADHA or NCDHA, with a current copy on file with NCDHA.

B.

Adopt and maintain a Code of Ethics, with a current copy on file with NCDHA.

C.

Have the right to establish additional classifications of membership that are not in conflict with the Bylaws of ADHA and NCDHA.

D.

Hold a business meeting at least once each NCDHA fiscal year.

E.

Provide for its financial support.

F.

Have the right to assess and collect component dues.

G.

Have the duty to elect Delegates/Alternate Delegates and a Trustee to NCDHA as set forth in these Bylaws.

SECTION 7. REPRESENTATION:

A. TRUSTEE/ALTERNATE TRUSTEE:

Each component shall elect a Trustee as a voting member of the NCDHA Board of Trustees and shall be elected for a term of two (2) years and not serve more than two (2) consecutive terms. An Alternate Trustee shall be elected to act in the absence of the Trustee.

B. PRESIDENT OF COMPONENT:

The Component President shall be an ex-officio member of the NCDHA Board of Trustees, without a vote, unless also elected Trustee.

C. DELEGATES/ALTERNATE DELEGATES:

A.        A component with less than ten (10) voting members shall be entitled to be represented in the NCDHA House of Delegates by one (1) Delegate and one (1) Alternate Delegate.

B.         A component with ten (10) or more voting members shall be entitled to be represented in the NCDHA House of Delegates by one (1) Delegate and one (1) Alternate Delegate for each full ten(10) voting members.

C.        An Alternate Delegate shall be entitled only to represent the component in the NCDHA House of Delegates in the absence of a Delegate.

D.        The determination of component delegate representation shall be determined by the NCDHA Treasurer and based on thecomponent voting membership count as of December 31 of the year preceding the NCDHA House of Delegates.

E.         Student delegates may be selected or elected by each dental hygiene school in accordance with each school’s procedure. Student delegates shall be student members of the school that the student delegate represents. Student delegates are non-voting members of the NCDHA House of Delegates. The student delegate shall be a member of the Student American Dental Hygienists’ Association (SADHA).

ARTICLE VI

GOVERNMENT

SECTION 1. QUORUM:

A majority of the voting members of the NCDHA House of Delegates, Board of Trustees or a Committee shall constitute a quorum

SECTION 2. VOTING:

Every question that comes before a meeting of the NCDHA House of Delegates, Board of Trustees or a Committee shall be decided by a quorum.

SECTION 3. PROCEDURE:

The most current edition of Roberts' Rules of Order shall be the parliamentary authority of the NCDHA.

SECTION 4. SUPREMACY CLAUSE:

The Bylaws of NCDHA shall not be in conflict with the Bylaws of ADHA, which shall be the supreme law of NCDHA. A current copy of these NCDHA Bylaws shall be on file with the ADHA Executive Director.

ARTICLE VII

MEETINGS

SECTION 1. BUSINESS MEETING:

The Annual Business Meeting of NCDHA shall be the annual meeting of the NCDHA House of Delegates and shall be at a time and place determined by the NCDHA Board of Trustees.

SECTION 2. SCIENTIFIC MEETINGS:

A. ANNUAL SCIENTIFIC MEETING:

A scientific meeting to be held annually at a time and place approved by the NCDHA Board of Trustees shall be conducted for the purpose of presenting scientific, technical and/or educational information designed to encourage advancement of the art and science of dental hygiene, to bring about standardization of methods and materials and to improve the professional competence of the dental hygienist.

B. ADDITIONAL SCIENTIFIC MEETING:

Additional scientific meetings, in the form of seminars, symposiums and workshops may be scheduled from time to time by the NCDHA Board of Trustees for the purpose of improving scientific and technical communication and encouraging education and training at all levels of the dental hygiene profession.

ARTICLE VIII

HOUSE OF DELEGATES

SECTION 1. DEFINITION:

The House of Delegates shall be the legislative body of NCDHA, with the authority to determine the policies to govern NCDHA in all it’s activities, to adopt the budget, to adopt and amend the Code of Ethics for governing the professional conduct of the NCDHA members, subject to these Bylaws and the laws of the state of North Carolina.

A. VOTING MEMBERS:

The delegates elected from each component will be the voting members of the NCDHA House of Delegates.

B. NON-VOTING MEMBERS:

The elected and/or appointed officers and student delegates shall be non-voting members of the NCDHA House of Delegates. In addition, the Publications Committee Chairman shall be a non-voting member of the NCDHA House of Delegates unless representing a delegate position of the NCDHA House of Delegates.

SECTION 2. CERTIFICATION OF DELEGATES/ALTERNATE DELEGATES:

The Treasurer of each component shall file the names of Delegates/ Alternate Delegates duly elected with the NCDHA Treasurer at least 45 days prior to the first day of the NCDHA House of Delegates. (Delegate Representation found in Article V, SECTION 7)The NCDHA Treasurer shall certify the Delegates/Alternate Delegates and provide them with the proper credentials, which shall be presented for registration and admission to the sessions of the NCDHA House of Delegates.

SECTION 3 DUTIES:

The annual duties of the NCDHA House of Delegates shall include but not be limited to:

A. Election of officers

B. Adoption of a budget

C. Receiving and acting upon all annual reports and activities

D. Action on proposed resolutions and/or Bylaws

SECTION 4. OFFICIAL CALL:

The NCDHA Speaker of the House shall submit to the NCDHA official publication an official notice giving the time and place of the meeting of the House of Delegates at least sixty (60) days in advance of the said meeting.

SECTION 5 OFFICIAL REPORTS:

The official actions of the House of Delegates and Board of Trustees and Annual Reports of Officers and Committees, under the direction of the NCDHA Speaker of the House, shall be sent to certified Delegates/Alternate Delegates at least thirty (30) days prior to the meeting of the NCDHA House of Delegates.

SECTION 6 SPECIAL SESSION:

A special session of the NCDHA House of Delegates shall be called by the President, upon written request of three-fourths (3/4) affirmative vote of the Board of Trustees or two-thirds (2/3) of the delegates in attendance at the previous House of Delegates. The NCDHA Board of Trustees shall determine the time and place of the special session of the NCDHA House of Delegates and it must be held within forty-five (45) days after the receipt of the request. Written notice of the time and place of such special session shall be mailed to each delegate not less than thirty (30) days prior to said session. The certified delegates at the previous NCDHA House of Delegates shall be the same delegates to attend the special session. The call shall state the business to be considered. No other business shall be transacted at the session. The order of business of any special session of the NCDHA House of Delegates shall be as follows:

SECTION 7. OFFICERS:

A. QUALIFICATIONS AND DUTIES:

A.        The NCDHA elected Speaker of the House shall preside at all meetings of the NCDHA House of Delegates.

B.         The NCDHA elected Recording Secretary shall serve as the recording officer of the NCDHA House of Delegates and be the custodian of the House of Delegates’ records.

B. VACANCIES:

A.        In the absence of the Speaker of the House, the NCDHA President will serve as Speaker of the House. In the absence of the Speaker of the House and the NCDHA President, the NCDHA President-Elect shall serve as Speaker of the House.

B.         In the absence of the Recording Secretary, the NCDHA Speaker of the House will appoint a Recording Secretary of the NCDHA House of Delegates.

ARTICLE IX

BOARD OF TRUSTEES

SECTION 1. DEFINITION:

The Board of Trustees shall be the administrative body of NCDHA vested with full power to conduct allbusiness. In addition, the Board of Trustees shall have the power to enact interim policies when the House of Delegates is not in session and when such policies are necessary to the proper conduct of NCDHA affairs, provided that all such policies are presented to the House of Delegates for approval at the next session immediately following their enactment.

SECTION 2. COMPOSITION:

The Board of Trustees shall consist of the President, President-Elect, Vice President, Recording Secretary,Treasurer, Treasurer-Elect, Immediate Past President and one (1) Trustee from each Component as the voting members. The Editor ofPublications, Speaker of the House, ADHA Delegates/Alternate Delegates, Component Presidents and Student Delegates shall be ex-officio members with no vote

SECTION 3. OFFICERS:

The officers of the Board of Trustees shall be the Chair and Secretary.

A. QUALIFICATIONS AND DUTIES:

A.        The NCDHA President shall serve as Chair of the Board of Trustees and preside at all meetings of the Board of Trustees.

B.         The NCDHA Recording Secretary shall serve as Secretary, the recording officer and custodian of the records of the Board of Trustees.

B. VACANCIES:

In the absence of the NCDHA President, the NCDHA President-Elect will serve as Chair of the Board of Trustees. In the absence of the NCDHA President-Elect, the NCDHA Vice President shall serve as Chair of the Board of Trustees. In the absence of the NCDHA President, President-Elect and Vice President, the NCDHA Board of Trustees shall elect one of its’ voting members as Chair pro-tem.

SECTION 4. DUTIES:

The duties of the NCDHA Board of Trustees shall include, but not be limited to the following:

A.        Be responsible for all property, real and personal, owned or held by NCDHA and to be bonded officers and employees entrusted with such property.

B.         Establish the fiscal year of NCDHA.

C.        Cause the accounts of NCDHA to be reviewed annually by a certified public accountant.

D.        Prepare an itemized budget of funds necessary to properly conduct NCDHA activities for the next fiscal year.

E.         Submit an annual report to the NCDHA House of Delegates.

F.         Review reports of officers and committees and to make recommendations to the NCDHA House of Delegates concerning these reports.

G.        Perform such other duties as are permitted by the Bylaws and Policies adopted by the NCDHA House of Delegates and by the laws of the State of North Carolina for a Board of Trustees.

H.        Adopt such rules and regulations for the conduct of the affairs of NCDHA, as it deems necessary or appropriate.

I.          Appoint such agents, attorneys and others, as it deems necessary or appropriate.

SECTION 5. MEETINGS:

A. REGULAR MEETINGS:

There shall be annually at least four (4) regular meetings of the NCDHA Board of Trustees. The time and place of these meetings is to be determined by the NCDHA President after consulting the members of the NCDHA Board of Trustees.

B. SPECIAL MEETINGS:

Special meetings of the NCDHA Board of Trustees shall be called by the NCDHA President or upon request of three (3) or more voting members of the NCDHA Board of Trustees. The call for the special meeting shall be issued at least seven (7) days prior to the date set for the special meeting. For a special meeting to be held during the NCDHA House of Delegates, majority consent of the voting members of the NCDHA Board of Trustees shall waive the seven (7) days notice. The call for a special meeting shall state the business to be considered and no other business shall be transacted during the special meeting.

C. MAIL BALLOTS:

Action taken by a majority of the voting members of the NCDHA Board of Trustees by mail ballot shall be binding and effective as if such action were taken in a regular or special meeting of the NCDHA Board of Trustees, providing, however, that any voting member of the NCDHA Board of Trustees may challenge the validity of a mail ballot on the grounds that insufficient information is available to ensure proper consideration of the question. If a problem is subsequently corrected to the satisfaction of the challenger, the challenge can be withdrawn and the vote taken. Otherwise, the question must be postponed until the next meeting of the NCDHA Board of Trustees.

ARTICLE X

ADHA REPRESENTATION

SECTION 1. ADHA DISTRICT TRUSTEE:

NCDHA together with the designated constituents named by the ADHA shall compose the designated District of the Dental Hygiene Associations. The ADHA Bylaws shall determine the qualifications, nominations, elections, installation, vacancies, and duties of the ADHA District Trustee.

SECTION 2. ADHA HOUSE OF DELEGATES:

Delegates and Alternate Delegates at the ADHA House of Delegates as provided by the ADHA Bylaws shall represent NCDHA.

A. QUALIFICATIONS:

Delegates and Alternate Delegates shall be voting members of ADHA/NCDHA.

B. DUTIES:

A.        Represent NCDHA at all sessions of the ADHA House of Delegates/Annual Session.

B.         Keep the NCDHA membership informed of ADHA activities.

C.        Assist the ADHA Officers and it’s Central Office staff as requested.

C. TERM OF OFFICE:

1. DELEGATES:

1.         The candidates for Delegate receiving the highest number of votes shall serve a term of two (2) years, with tenure limited to two (2) consecutive terms.

2.         The term of office shall commence on the first of January following election to office and end after two (2) years on December 31.

3.         The NCDHA President shall serve as an ADHA Delegate for a term of one (1) year, commencing on the date of installation to office of NCDHA President and ending when installed as NCDHA Immediate Past-President.

2. ALTERNATE DELEGATES:

1.         The Alternate Delegates will be determined as the next highest number of votes received by the candidates for Delegate, with tenure limited to one (1) year.

2.         The term shall commence on the first of January following election to office and end the following December 31.

3.         The NCDHA President-Elect shall serve as First Alternate Delegate for a term of one (1) year, commencing on the date of installation and ending when installed as NCDHA President.

D. NOMINATIONS:

Nominations of the Delegates and Alternate Delegates to the ADHA House of Delegates shall be made at the same time, place and manner provided for in the election of officers of NCDHA.

E. ELECTIONS:

A.        ADHA Delegates and Alternate Delegates shall be elected by the NCDHA House of Delegates.

B.         The terms of the ADHA Delegates shall be arranged to expire in alternate years.

F. VACANCIES:

In the event of a vacancy among the ADHA Delegates/Alternate Delegates, the Delegate/Alternate Delegate receiving the highest number of votes shall be the first appointed to fill the vacancy; further appointment of vacancies shall be made in order of the number of votes received. Any further vacancies are to be appointed by the NCDHA President with NCDHA Board of Trustees approval.

ARTICLE XI

COMMITTEES

SECTION 1. CLASSIFICATION:

The Councils and Standing Committees of NCDHA shall be established by the NCDHA House of Delegates and shall continue to exist until the NCDHA House of Delegates act to terminate them.

B. Special Committees:

Special committees shall be established by the NCDHA House of Delegates or NCDHA Board of Trustees and shall automatically terminate upon completion of the task for which they were established.

SECTION 2. STRUCTURE:

A. MEMBERS:

NCDHA committees, both Standing and Special, shall be unlimited in members but usually not less than three (3) NCDHA voting members, including the Chairperson. In the event that one or more NCDHA non-members are desirable, such appointments shall be made only with the specific approval of the NCDHA Board of Trustees.

B. APPOINTMENTS:

A.        The NCDHA Standing Committee Chairs shall be appointed annually from the membership by the NCDHA President, with approval of the NCDHA Board of Trustees.

B.         The Special Committee Chair and its’ members shall be appointed by the NCDHA President, with the approval of the NCDHA Board of Trustees.

C. VACANCIES:

A.        In the event of a vacancy of a Standing Committee Chair, the NCDHA President shall appoint a successor for the unexpired term, with the approval of the NCDHA Board of Trustees.

B.         In the event of a vacancy of a Special Committee Chair, the NCDHA President shall appoint a successor for the unexpired term.

D. DUTIES:

The duties of the committees, both Standing and Special, shall have such duties as designated by the NCDHA House of Delegates and/or Board of Trustees.

ARTICLE XII

PUBLICATIONS

SECTION 1 OFFICIAL PUBLICATION:

There shall be an official publication the name of which shall be determined by the NCDHA Board of Trustees.

SECTION 2. ADDITIONAL PUBLICATIONS:

The NCDHA Board of Trustees may authorize such additional publications as may be deemed appropriate in furthering the best interest of NCDHA. These additional publications shall be presented to the House of Delegates for approval.

SECTION 3. OBJECTIVES:

The objectives of all publications shall be to report, chronicle and evaluate all significant activities and developments of scientific and professional interest to the dental hygiene profession.

SECTION 4. FREQUENCY OF ISSUE AND SUBSCRIPTION RATES:

the NCDHA Board of Trustees shall determine the frequency of issue and subscription rates for all publications, including the official publication.

ARTICLE XIII

INDEMNIFICATION OF OFFICERS AND TRUSTEES

The NCDHA shall indemnify and hold harmless each Trustee and each Officer from and against any and all claims and liabilities to which they are or become subject by reason of acting as a Trustee or Officer as aforesaid, and shall reimburse each Trustee and each Officer for all legal and other expenses reasonably incurred in connection with defending against any such claims or liabilities, provided, however, that no Trustee or Officer shall be indemnified against or reimbursed for any expenses incurred due to negligence or willful misconduct. The foregoing rights of Trustees and Officers shall not be exclusive of other rights to which they may be entitled lawfully.

ARTICLE XIV

DISSOLUTION

If at any time NCDHA shall be dissolved, no part of the funds or property shall be distributed to or among its’ members, but after the payment of all indebtedness of NCDHA, its’ surplus and properties shall be used for education of dental hygienists in North Carolina in such manner as the governing body of ADHA shall determine.

ARTICLE XV

AMENDMENT OF BYLAWS

SECTION 1. The Bylaws may be amended or revised by a two-thirds (2/3) affirmative vote of the members of the NCDHA House of Delegates present and voting provided that Proposed amendments and revisions shall have been presented, in writing, at any previous session of the NCDHA House of Delegates, or previous meeting of the same session.
